Sandnes, Norway (11 September 2024): Reference is made to the joint stock exchange announcement on 30 May 2024 by Soiltech AS (“Soiltech” or the “Company” with OSE ticker: STECH) and Oceanteam ASA (“OTS”) regarding the combination of the two companies (the “Merger”) and subsequent listing of the combined company on Euronext Expand (the “Listing”), as well as the respective announcements on 3 June 2024 and 4 July 2024 regarding the execution of the definitive merger agreement and approval of such by the extraordinary general meetings of OTS and Soiltech. Reference is further made to other announcements published by the Company related to the Merger and Listing.
Completion of the Merger and conversion of Soiltech into a public limited company (Nw.: “Allmennaksjeselskap“) has been successfully registered with the Norwegian Register of Business Enterprises. As a result and following inter alia the issuance of the Merger consideration shares to the former shareholders of OTS, the new share capital of Soiltech is NOK 1,031,339.01 divided into 7,933,377 shares, each with a nominal value of NOK 0.13. As announced on 27 August 2024, consideration shares in Soiltech will be delivered to eligible and former OTS shareholders on 13 September 2024. Pursuant to and in accordance with Article 3 (3) of Regulation (EU) 2017/1129 (EU Prospectus Regulation), Soiltech has furthermore prepared and submitted a prospectus (the “Prospectus”) to the Norwegian Financial Supervisory Authority (“NFSA”) in connection with the Listing.
